Terms of Service

These terms are a contract between you and Lobbystack Inc. (Montreal, Quebec, Canada), which operates OpenProfit ("we", "us"). They cover the hosted service at openprofit.dev and its subdomains (the "Service"). By creating an account or using the Service you accept them. If you use the Service for a company, you confirm you can bind that company, and "you" means the company.
The open-source code at github.com/lobbystack/openprofit is licensed under the MIT License. If you run your own copy, the MIT License governs the software and these terms do not apply, except section 11 on telemetry if you switch it on.
1. The Service
OpenProfit reads revenue and cost data from third-party providers you connect (for example Stripe, Polar, OpenAI, Anthropic, Vercel, Cloudflare, Railway), stores it, and shows revenue, costs and profit per product, with alerts, a weekly email and optional public pages.
The Service is a reporting tool. It is not accounting, tax, legal or investment advice, and it is not a system of record. Figures depend on what providers report, on exchange rates from the European Central Bank, and on how you map costs to products. Check important numbers against the provider before you rely on them.
2. Accounts
You need an account to use the Service. You must give a working email address and keep it current. You are responsible for everything done through your account and for keeping your sign-in method secure. Tell us at once at the address in section 16 if you believe your account has been accessed without permission.
You must be at least 18 and able to enter a contract. The Service is built for businesses and professionals. It is not offered to consumers for personal, family or household purposes.
3. Provider credentials
To connect a provider you give us an API key or token for that provider. You confirm that you are allowed to share it and that it carries only the permissions we list on the connect page. We store credentials encrypted and use them only to read the data the Service needs. You can remove a connection at any time, which deletes the credential. You remain responsible for the credential under the provider's terms, and you should revoke it with the provider when you stop using the Service.
4. Acceptable use
You agree not to:
- connect accounts or credentials you are not authorized to use;
- use the Service to break the law, or to breach a provider's terms;
- probe, scan or test the Service for vulnerabilities without written permission, or interfere with its operation;
- scrape, copy or resell the Service, or access it by any means other than the interface we provide or an API we document;
- publish a public page that is false, misleading or infringes someone's rights;
- send spam or abuse through alerts, emails or public pages;
- use the Service to build a competing product by copying its features from the inside.
We may suspend or close accounts that break these rules.
5. Plans, fees and changes
The free plan is available while the monthly recurring revenue summed across your workspace stays under the cap shown on the pricing page. Paid plans are billed monthly in advance in US dollars.
Payments are processed by Polar Software Inc. as merchant of record. Polar handles the checkout, invoices, sales tax and VAT, and its terms apply to the payment itself. We do not see or store your card details.
We may change prices, plan limits and what each plan includes. For an increase in the price of a plan you are already on, we will give you at least 30 days' notice by email or in the Service before it applies. Other changes, including to the free plan's limits, may take effect when posted. If you do not agree with a change, cancel before it takes effect; continuing to use the Service after that means you accept it.
Fees are not refundable except where the law requires it. If you cancel, you keep the paid plan until the end of the period already paid. We may offer refunds at our discretion.
If a payment fails, Polar will retry. If it keeps failing we may move your workspace to the free plan or suspend it.
6. Your data
You own the data you connect and the data we read from providers on your behalf. You grant us a license to store, process, display and transmit it as needed to run the Service, including to the subprocessors listed in the Privacy Policy, and to produce the aggregate, non-identifying statistics described there.
Public pages show only what you choose on the Products page. You are responsible for what you make public.
You can delete connections, products and your whole workspace from inside the Service. We delete workspace data within 30 days of a request, except backups, which cycle out within 90 days, and records we must keep by law.
7. Our property
The Service, its design, text and trademarks belong to us or our licensors. The source code is available under the MIT License; the hosted Service, the OpenProfit name and the openprofit.dev domain are not covered by that license. You may not use our name or logos to imply endorsement without written permission.
If you send us suggestions, we may use them without obligation to you.
8. Third-party services
The Service depends on providers' APIs and on services we do not control (hosting, email, payments, sign-in through Google or GitHub). We are not responsible for their availability, accuracy, security or terms. A provider may change or withdraw an API at any time, which can stop a connector working.
9. Availability and support
We aim to keep the Service running but do not promise any uptime. We may change, suspend or stop any part of it, including a connector or a plan, with notice where practical. Support is by email, during business hours in the Eastern time zone, without a response-time commitment.
10. Beta features
Features marked beta, preview, early access or similar may change or be withdrawn at any time, may have bugs, and are provided without any of the commitments in these terms beyond section 12.
11. Telemetry from self-hosted copies
A self-hosted copy sends nothing to us unless you switch on the usage ping in its settings. If you do, it sends us once a day a hashed instance id, the software version, and counts of workspaces, products and connections by provider. No names, amounts, emails or keys. You can switch it off at any time.
12. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Service will be uninterrupted, error-free, secure or accurate. No advice or information from us creates a warranty.
Figures in the Service are derived from third-party data and currency conversions and may be incomplete, delayed or wrong. You use them at your own risk.
13. Limitation of liability
To the fullest extent the law allows:
- we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity, however caused and under any theory of liability, even if we were told such damages were possible;
- our total liability for all claims arising from or related to the Service or these terms is limited to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim and (b) 100 US dollars.
Some jurisdictions do not allow some of these limits. In that case they apply to the extent permitted. Nothing in these terms excludes liability that cannot be excluded by law, such as liability for fraud or for death or personal injury caused by negligence.
14. Indemnity
You will defend, indemnify and hold us and our officers, directors, employees and contractors harmless from claims, damages, losses and expenses, including reasonable legal fees, arising from your use of the Service, your data, your public pages, your breach of these terms, or your breach of a provider's terms or of the law.
15. Termination
You can close your workspace at any time from Settings. We may suspend or terminate your access if you breach these terms, if required by law, if a provider requires it, or if we stop offering the Service, with notice where practical. On termination your right to use the Service ends and we delete your data as described in section 6. Sections 6, 7, 12, 13, 14, 17 and 18 survive termination.
16. Contact and notices
Email: hello@openprofit.dev. We send notices to the email on your account or by posting in the Service. Notices are effective when sent.
17. Changes to these terms
We may change these terms. We will post the new version at openprofit.dev/terms with a new "last updated" date, and for material changes we will email you or show a notice in the Service at least 14 days before they apply. Using the Service after that date means you accept the new terms. If you do not, stop using the Service and close your workspace before the date.
18. Governing law and disputes
These terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of the judicial district of Montreal, Quebec, have exclusive jurisdiction over any dispute, and you consent to that jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before suing, you agree to write to us and give us 30 days to resolve the issue. Any claim must be brought within one year of the event giving rise to it, where the law allows such a limit.
19. General
These terms, with the Privacy Policy and the pricing page, are the whole agreement between you and us about the Service and replace earlier agreements. If a provision is found unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them to an affiliate or a successor. Neither party is liable for delays caused by events beyond its reasonable control.
